AI Cockpit Reasoning (EULA)

Important

By installing, accessing, or using this software ("Plugin"), you agree to be bound by the terms of this End User License Agreement ("Agreement"). If you do not agree to these terms, do not install or use the Plugin.

1. Definitions​

1.1 "Plugin" refers to the AI Cockpit Reasoning plugin for Visual Studio Code, JetBrains IDEs, or any other supported platform.

1.2 "User" refers to any individual or entity installing or using the Plugin.

1.3 "AI Cockpit Platform" refers to the services and infrastructure owned and operated by Compass UOL.

2. License Grant​

Compass UOL grants the User a limited, non-exclusive, non-transferable, and revocable license to install and use the Plugin for development purposes. This license does not permit:

  • (a) modification, decompilation, reverse engineering, or extraction of source code,
  • (b) redistribution, sublicensing, selling, or hosting of the Plugin,
  • (c) use of the Plugin to create competing products or plugins.

3. Proprietary Rights​

3.1 The Plugin is licensed, not sold. All proprietary components, enhancements, modifications, logic, design, and integrations created by Compass UOL remain the exclusive property of Compass UOL.

3.2 The User acknowledges that the proprietary portions of the Plugin include confidential information and trade secrets.

4. Use of AI Cockpit Platform​

4.1 The Plugin may connect to AI Cockpit APIs, requiring authentication and usage credits where applicable.

4.2 Use of AI Cockpit services is governed by the AI Cockpit Terms of Use and Privacy Policy.

4.3 The Plugin does not store, share, or transmit data beyond what is required to provide functionality consistent with the AI Cockpit Platform.

5. Third-Party Open Source Notice (Kilo Code – Apache 2.0)​

5.1 Portions of this Plugin incorporate or are derived from components originally based on the open-source project "Kilo Code," which is licensed under the Apache License, Version 2.0.

5.2 The full text of the Apache 2.0 license is available at: https://www.apache.org/licenses/LICENSE-2.0.txt

5.3 ONLY the original Kilo Code components remain under Apache 2.0. All Compass UOL improvements, modifications, integrations, and proprietary extensions to these components are NOT open source and remain proprietary as per this Agreement.

6. Restrictions​

The User may not:

  • (a) bypass license checks or authentication mechanisms,
  • (b) intercept or replicate API traffic for unauthorized use,
  • (c) create derivative works of the proprietary portions of the Plugin,
  • (d) analyze internal behavior for competitive purposes.

7. Updates and Support​

Compass UOL may provide updates at its discretion. Nothing in this Agreement obligates Compass UOL to provide maintenance or support.

8. Warranty Disclaimer​

THE PLUGIN IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR MERCHANTABILITY.

9. Limitation of Liability​

To the fullest extent permitted by law, Compass UOL shall not be liable for indirect, incidental, consequential, or punitive damages. Total liability shall not exceed the amount paid (if any) for the Plugin.

10. Termination​

This Agreement terminates automatically if the User violates any term. Upon termination, the User must cease all use and delete all copies of the Plugin.

11. Governing Law​

This Agreement is governed by the laws of Brazil. Any disputes shall be resolved in the courts of São Paulo, Brazil.

12. Apache License 2.0 Notice​

This product includes components based on Kilo Code, licensed under the Apache License, Version 2.0.
